GENERAL TERMS AND CONDITIONS

These terms and conditions of sale (“Terms“) apply to the sale of products from Energy Solutions and Supplies LLC. By accepting delivery of any product delivered by Energy Solutions and Supplies LLC (“we”, “us” or “ESAS”), customers (“buyer” or “you”) agree to be bound by the terms and conditions listed below. Customers and ESAS agree that the following terms and conditions are the exclusive terms governing the sales transaction between customers and ESAS. Any attempt to alter, supplement, modify or amend these terms and conditions by the customers will be considered a material alteration of this agreement and, therefore, are null and void. In addition, these terms and conditions are subject to change by us at any time, without prior written notice in our sole discretion. Therefore, please check these terms and conditions carefully each time you place an order with or accept delivery of any goods from ESAS.

ORDER ACCEPTANCE AND CANCELLATION:

An order is not binding until it is accepted. You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by ESAS or ESAS will not be obligated to sell the products or services to you. ESAS may choose not to accept orders in its sole discretion, even after you receive a confirmation email with your order number and details of the items you have ordered.

PRICES AND PAYMENT TERMS

All prices, discounts, and promotions are subject to change without notice.

Terms of payment are within our sole discretion, and payment must be received by ESAS before we will accept any order, or the customer must have been accepted for credit. All purchases completed must be conducted with an approved payment method. You represent and warrant that (i) the information associated with each payment method you supply is true, correct and complete, (ii) you are authorized to use such payment method for the purchase, (iii) charges incurred by you will be honored by your bank, credit card company or other processing agent (e.g., Paypal), and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any, at the time of your order.

ESAS will not release or ship any products until full payment (as per Sales Order/Service Level Agreement) has been received or customers have been approved for credit.

ESAS accepts the following Payment Methods via ESAS’s company payment portal.

ESAS accepts credit card payment (with prior application and approval) contact ESAS accounting for details.

Customers agree to pay the amount(s) due as specified on the invoice. Any unpaid balance by the due date will accrue interest at 1.5% per month, calculated from the day following the invoice due date until payment is received in full. Customer shall be responsible for all costs of collection, including reasonable attorneys’ fees, court costs, and collection agency fees.

SHIPPING AND DELIVERY

Unless otherwise specified in a Sales Order or Service Level Agreement, products must be shipped or collected within thirty (30) days following order confirmation. If Customer fails to arrange shipment, pickup, or payment within such period, ESAS reserves the right to cancel the order and issue a refund less any applicable fees, costs, deposits, or manufacturer cancellation charges.

Title transfer happens when a buyer (or a third-party provider – such as a freight carrier – on behalf of the buyer) receives the products, or ESAS sends the buyer a letter confirming title transfer in the case of Safe Harbor orders.  

While receiving the product, the customer (or the third party) shall inspect the product for visible damage on the exterior packaging of the product and notify the seller immediately. If there is severe damage to the shipment, the customer shall refuse the delivery and/or immediately communicate with the seller. Additionally, the customer shall inspect the product for any concealed damage within 5 days following the receipt. The customer shall submit a written notification, accompanied by clear photographs as evidence of such damage.

Processing Time

Customers can expect the order to be processed within approximately one business day. Expected ship times vary depending on stock availability and shipment distances.  If items are needed by a certain date, please contact ESAS logistics. In most cases, expected shipping dates for all items will be emailed to the customer within 24 hours of the time the order is processed. Tracking information will also be emailed once the items have shipped.

Back Orders

Any items that are unavailable will be placed on back order, and the remainder of order will be shipped as it becomes available. Ongoing status of back orders will be provided weekly.

Order Status

ESAS will do everything possible to keep the customers informed of their order via email. The tracking number will be emailed to the customer once the item is shipped. Customers may also check the online status page for live updates.

Privacy & Security
We respects customer’s privacy. Under any circumstances we will not sell or release customers information to anyone. All the information obtained from our website will be used for internal purposes only.

All on-line transactions are sent through the secure server and encrypted portal. Once the information is received through the internet, trusted authorized employees will process your payment, and make sure that your information is handled with the highest level of security.

This website contains links to other sites. Please be aware that ESAS is not responsible for the content or privacy practices of such other sites. ESAS encourages its users to be aware when they leave the company’s site and to read the privacy statement of any other site that collects personally identifiable information.

Change Orders

Customers may change their order for standard stock items, provided that the order has not yet been processed. As noted in a separate paragraph, special orders cannot be changed once ESAS receives the order acknowledgment. If the order has been processed, ESAS has the right to charge a 15% processing fee to change the order. If items have shipped the normal restock fee may apply. Please contact respective salesperson directly with any changes to be made and please have the order number available.

Special Orders

Many items that ESAS offer are considered special orders, built-to-order, or custom-built items. These items include but are not limited to solar panels, batteries, and inverters. The salesperson should be able to provide their customers with more details when an order is placed.

Lead times or ship dates that the manufacturer suggests are “approximate lead times” based on their expectations at the time they receive the orders. Please keep in mind that lead times may vary due to the volume of business the manufacturer may have at the time the order is placed. Other factors may include shortage or delay of materials that are necessary for the build, that have occurred and are beyond the manufacturer’s control. These manufacturers will not accept cancellations for delays in shipping the order.

Most of the manufacturers that ESAS deals with have a cancellation policy that will demand a cancellation fee, if the order is canceled after they receive the purchase order. Fees can vary and maybe as much as 25% of the order. Orders placed for this type of product will require an order acknowledgment from the customer, along with a 25% non-refundable fee for deposit of the product. This amount will be deducted from the total of the order, once the product ships.

Cancellation Policy

To cancel your order for standard in stock items, please call during our normal business hours and speak with the respective sales representative or someone in the company’s customer support department. Provided your order has not yet been processed, and your credit card has not been charged there is no fee. As noted in a separate paragraph, special orders cannot be canceled once ESAS receives the order acknowledgment. If your order has already been processed and the card was charged, there is a 5% cancellation fee deducted from the refund. If any portion of your order has been shipped, a 15% reallocation/restocking fee will be deducted from the refund. The refund will occur within 48 hours of receipt of the cancellation or the return of all products that have shipped. Many of ESAS’s products are custom-built, built to order or special ordered items. These items include but are not limited to power panels, battery boxes, racking products, some AET products, and many direct power and water products. If there is a need to cancel an order for any of these products there is a cancellation fee even if the item has not been shipped. The cancellation fee will vary depending on the manufacturer but may be as much as 30% of the cost of the item. This fee is the same fee that manufacturers pass onto us for canceling the order.

Product Listings

ESAS product descriptions are not designed or intended to replace the personal product knowledge, experience and/or research or that of a professional installer or licensed electrician.

ESAS strives to be as accurate as possible in its product descriptions, compatibility references, information content, pricing, links and any other product information contained in or referenced on the company’s site. However, occasional human error may occur, and ESAS therefore cannot guarantee that all product descriptions, specifications, pricing or any other content on the site is entirely accurate, complete, current, or that ESAS is responsible for these errors. If a product is listed at an incorrect price due to typographical, informational, technical or any other error, ESAS at its sole discretion shall have the right to refuse or cancel any order for that product and immediately amend, correct or remove the inaccurate information. Moreover, all links on ESAS’s website are intended only to provide visitors with assistance finding additional information and professional opinion; however, due to the fast pace of the industry, complex nature and personal subjective experiences, reviews can become outdated or less accurate over time or even at inception and should therefore never be the sole determinate in a purchasing decision, or, most importantly, a substitute for doing one’s own product research. Please remember to consider, customers, ESAS’s valued patron, are ultimately responsible for any purchase decision.

Product Reviews

ESAS is not a forum for product reviews. ESAS is a private site that conducts the business of selling renewable energy related products and as such, any specifications and information posted by ESAS regarding products for sale must be factual. However, customer comments about their experience with said products are the opinions of the user. Customer opinion reviews are used at the discretion of ESAS as a marketing device for positive and constructive ways to share the benefit of the product. It is not used as a source for negative commentary as ESAS cannot endorse the validity of any negative comment. Therefore, the ESAS site is moderated to remove any unproven biased negative comments. It is not the intention of ESAS to mislead any customer and therefore all purchase decisions should not be solely based on the product review.

Return Policy: Standard stock merchandise purchased through ESAS may be returned within 30 days of receipt. Customers will receive a refund or account credit of the amount less the original shipping and handling costs, provided such return is made within 30 days of shipment if the merchandise is returned in its original packaging, in new and resalable condition, and includes the original blank warranty cards, manuals, and all accessories. A 15% restock/reallocation fee may be charged.

If any component of the returned product is missing, if there is damage or the product has been used, ESAS may reject the return or may choose to impose additional charges for replacement of the missing component. A 15% restock/reallocation fee will be charged for all returns. As noted in a separate paragraph, Special Orders, custom built, built to order or special ordered items, are non-returnable. Unless an error is made by ESAS, shipping and handling charges are not refundable. Before returning items, it is necessary to obtain an RMA # for the return. Customers can request and RMA # by:

Once customers have been instructed where to return the item, they are responsible for shipping charges back to that address. Once issued, RMA numbers are valid for 15 days from the date issued and items must be received in that time frame. Please refer to this number in a clear location on the outside of the package when returning the product. The customer shall be responsible for the return of any unused product and agrees to use only reputable carriers capable of providing proof of delivery and insurance for the value of the shipment.

Sales Tax:

Prices quoted for merchandise may not include any applicable state or local taxes.  ESAS ships to a variety of locations throughout the US and Canada. Sales tax may be charged in accordance with local laws and regulations, unless the buyer can provide a valid resale or tax-exempt certificate.

Warranty Policy:

ESAS is a distributor only. Products sold by ESAS are not manufactured by ESAS and therefore ESAS does not warrant any of the product’s ESAS sells. Most items that ESAS sells are covered by the original manufacturer’s warranty, service, or support policy (if any). In the event that there is a technical problem that occurs with the product upon receipt or installation of the product ESAS urges customers to contact the manufacturer directly. The customer shall be responsible for the return of any defective product and agrees to use only reputable carriers capable of providing proof of delivery and insurance for the value of the shipment.

ESAS has no responsibility in sending a replacement item to the customer in the event that they have received a defective product. If customers receive a defective unit, contact the manufacturer and they will typically repair or replace the product.

LIMITATION OF LIABILITY IN ALL CIRCUMSTANCES ESAS’S MAXIMUM LIABILITY IS LIMITED TO THE PURCHASE PRICE OF THE PRODUCTS SOLD. ESAS SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE UPON A CLAIM OR ACTION IN CONTRACT, TORT, INDEMNITY OR CONTRIBUTION, OR OTHER CLAIMS RELATING TO THE PRODUCTS IT SELLS WHICH EXCEEDS THIS LIABILITY LIMIT. ESAS SHALL NOT BE LIABLE FOR THIRD PARTY CLAIMS FOR DAMAGES AGAINST THE CUSTOMER, OR FOR MALFUNCTION, DELAYS, INTERRUPTION OF SERVICE, LOSS OF BUSINESS, LOSS OR DAMAGE TO EXEMPLARY DAMAGES, WHETHER OR NOT ESAS IS APPRISED OF THE POSSIBILITY OF SUCH CLAIMS OR DAMAGES.

Title & Risk of Loss:

ESAS will arrange for shipment of ordered product(s) to the Customer, Free On Board (F.O.B.) shipping point, meaning title to the product(s) and risk of loss passes to the Customer upon delivery to the carrier. ESAS reserves a purchase money security interest in the product(s) until its receipt of the full amount due. Customer agrees to allow ESAS to sign appropriate documents on Customer’s behalf to permit ESAS to protect its purchase money security interest. ESAS will advise Customer of estimated shipping dates, but ESAS will, under no circumstances, be responsible for delays in delivery, and associated damages, due to events beyond its reasonable control, including without limitation, acts of God or public enemy, acts of federal, state or local government, fire, floods, civil disobedience, strikes, lockouts, and freight embargoes.

Governing Law and Jurisdiction:

Any dispute arising out of or related to these Terms and Conditions or the sales transaction between ESAS and Customer shall be governed by the laws of the State of Arizona, without regard to its conflicts of law rules. Specifically, the validity, interpretation, and performance of this agreement shall not be governed by the United Nations Convention on the International Sale of Goods. ESAS and Customer consent Arizona, Maricopa County, to resolve any dispute between them related hereto, and the parties waive all rights to contest this exclusive jurisdiction and venue of such Court. Finally, the Customer also agrees not to bring any legal action, based upon any legal theory including contract, tort, equity or otherwise, against ESAS that is more than one year after the date of the applicable invoice.

Severability:

If any provision contained in this agreement is or becomes invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the remaining provisions and portions of this agreement, and the invalid, illegal, or unenforceable provision shall be deemed modified so as to have the most similar result that is valid and enforceable under applicable Arizona Law.

Waiver:

The failure of either party to require performance by the other party of any provision of this agreement shall not affect in any way the first party’s right to require such performance at any time thereafter. Any waiver by either party of a breach of any provision in this agreement shall not be taken or held by the other party to be a continuing waiver of that provision unless such waiver is made in writing.

Entire Agreement:

These terms and conditions, together with ESAS’s invoice respecting the products ordered by Customer, are the complete and exclusive agreement between ESAS and Customer, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between ESAS and Customer relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.
